New Appointment
Required Documents
To establish Corporate Stock Transfer as your new agent, you will need to complete our "Appointment Documents" which are as follows:
- Resolution of Appointment

- Bond of Indemnity

- Certificate of Secretary
- Indemnity Agreement

- Fee Schedule

- Signature Page
- New Company Information Form
In addition, you will need to supply Corporate Stock Transfer with any current SEC filings.
Cusip Service Bureau
Upon receipt of your completed appointment documents, Corporate Stock Transfer, Inc. will request your Cusip number.
Please note that The Cusip Service Bureau now requires a credit card payment for charges at the time of the request for any new Cusip number.
Reporting
Corporate Update Form
In the event that there are any changes in information about the company, such as, officer changes, phone numbers, addresses, or any information utilized by Corporate Stock Transfer to properly serve the Company and its shareholders, the Company needs to return a Corporate Update Form to Corporate Stock Transfer as soon as possible.
Activity Reports
At the end of every billing period, Corporate Stock Transfer will send an Activity Report to the Company along with the monthly invoice. The Activity Report provides information with regard to changes in ownership of the Company's securities, including the parties involved in the transaction and the amount of shares exchanged. Subpoenas
Corporate Stock Transfer is required to comply with all informational subpoenas. In the event that we receive a subpoena for your company, you will be charged for production of documentation to be provided. These charges need to be paid immediately to ensure that all deadlines are met with the SEC. Charges may include but are not limited to:
- Cost of document retrieval from archives
- Cost of document copies
- Cost of document delivery
*Each subpoena is handled on a case-by-case basis and you will receive a statement, which will outline your obligation prior to completion.
Depository Trust Company
Weekly Security Position Listing with Daily Closing Balances
The "Weekly Security Position Listing with Daily Closing Balances" provides the daily and weekly balances of the Company's shares of securities held by the various broker/dealers. It also provides changes in share volume in both number of shares and as a percentage change.
At the request of the Company, Corporate Stock Transfer will send a DTC information letter outlining the cost and procedures by which the Company can obtain a "Weekly Security Position Listing with Daily Closing Balances/DTC" from the Depository Trust Company.
